Terms of Service

These Terms of Service (“Terms”) govern your use of the Patenter platform (“Patenter”), a product owned and operated by Berkeley Fit LLC (“Berkeley Fit,” “we,” “our,” or “us”). By accessing or using Patenter, you agree to be bound by these Terms. If you do not agree, you may not use Patenter.

1. About Us

  • Patenter is an online platform designed to assist with invention disclosures, provisional drafting, and related intellectual property documentation.

  • Berkeley Fit LLC is the legal entity that owns and operates Patenter.

2. User Responsibilities

  • You represent and warrant that you have the right to upload, submit, or otherwise provide invention disclosures and related materials.

  • You are responsible for ensuring that your use of Patenter complies with all applicable laws, including export control and intellectual property laws.

  • You agree not to misuse Patenter, including (but not limited to) attempting to access unauthorized data, reverse-engineering the service, or uploading malicious content.

3. Confidentiality of User Submissions

  • All invention disclosures and associated materials you submit remain your property.

  • Berkeley Fit treats invention disclosures and related materials as confidential and will not disclose them to third parties, except:

    1. As required by law or regulation.

    2. To trusted contractors, service providers, or AI processing services under confidentiality obligations.

  • Employees, contractors, and systems accessing invention data are subject to strict confidentiality controls.

4. Use of AI and Automation

  • Patenter may use artificial intelligence (AI) tools and services to provide drafting suggestions, classification, and analysis.

  • Any AI use is solely for your benefit and does not involve training external models on your invention disclosures.

  • AI-generated outputs are subject to your review and are not guaranteed to be correct, complete, or legally sufficient.

5. Intellectual Property Rights

  • You retain ownership of all invention disclosures and intellectual property submitted to Patenter.

  • By submitting content, you grant Berkeley Fit a limited, non-exclusive license to process and display your submissions within Patenter for the purpose of providing the service.

  • Berkeley Fit retains ownership of the Patenter platform, software, and related technology.

6. No Legal Advice; Disclaimer

  • Patenter is not a law firm, and Berkeley Fit is not providing legal services.

  • Use of Patenter does not create an attorney-client relationship.

  • Any drafting, analysis, or recommendations provided by Patenter are for informational and drafting support purposes only and should not be relied on as legal advice.

  • You should consult a licensed patent attorney or agent before filing or making legal decisions based on materials generated by Patenter.

7. Security and Data Protection

  • Berkeley Fit implements reasonable administrative, technical, and physical safeguards to protect your data, including encryption in transit and at rest.

  • While we strive for high security, we cannot guarantee that unauthorized access or breaches will never occur.

8. Service Limitations

  • Patenter is provided “as is” and “as available.”

  • We do not warrant uninterrupted or error-free operation.

  • To the fullest extent permitted by law, Berkeley Fit disclaims all warranties, express or implied.

9. Limitation of Liability

  • To the maximum extent permitted by law, Berkeley Fit shall not be liable for indirect, incidental, or consequential damages.

  • Our aggregate liability for any claim related to your use of Patenter shall not exceed the amount paid by you to Berkeley Fit for use of Patenter in the twelve (12) months preceding the claim.

10. Termination

  • We may suspend or terminate access to Patenter if you violate these Terms or misuse the service.

  • You may stop using Patenter at any time.

11. Governing Law

  • These Terms shall be governed by and construed under the laws of the State of [Insert State, e.g., Delaware or Utah], without regard to conflict of law principles.

12. Changes to Terms

  • Berkeley Fit may update these Terms from time to time. Material changes will be communicated through the platform or email.
